取消公司最低出资限额,降低了国人的创业成本


近日,国务院常务会议,部署推进公司注册资本登记制度改革,其中亮点包括:取消有限责任公司最低注册资本3万元,不再限制公司设立时股东(发起人)的首次出资比例和缴足出资的期限;将企业年检制度改为年度报告制度,任何单位和个人均可查询等多项内容。

对企业要求注册资本金,实行繁杂的年检制度,除了增加企业的运作成本之外,好处微乎其微。注册资本就是为了体现一个公司的实力,其他一点用处都没有。取消公司最低注册资本对创业者来说是一个利好,创业门槛降低了,以后人人都可能拥有公司。

现行《公司法》对注册公司的资本设有门槛。不达到一定的注册资本,就不可能得到业务。白手起家的创业者面临资金短缺,但出于对公司信用的担心,又不愿降低注册资本额,只好选择虚报注册资本。

实际操作中,由于缺乏资金,不少创业企业会花钱委托中介机构进行工商注册登记。中介机构负责出资垫付,通过工商局审查之后就撤资。这说明对于真正想诈骗的人来说,公司最低注册资本起不到防护作用。但公司最低注册资本对想做生意但手里资金有限的小微企业来说却是实实在在的门槛,而且使用上述规避方法也不是没成本的,一方面需要花费人力、物力,另一方面这本身又构成了原罪,很可能有朝一日会随着商业上的竞争而重新“被”浮上水面。

如今取消公司最低注册资本,有人质疑1元就可开公司,皮包公司将会卷土重来,这是杞人忧天。皮包公司的本质是商业欺诈而不是按注册资金多少来定性的。大公司也有骗子,小公司也有认真经营的,不能以大小而论。

减少政府对市场的干预,并不意味着政府不作为。工商总局局长张茅近日也表示,工商登记制度改革,必须在“宽进”的同时,依法“严管”。宽进和严管是两个轮子,只有两个轮子都做圆了,车才能跑起来。这也意味着皮包公司进行商业欺诈仍将被严管。

企业设立的门槛非常低是国际通行做法


取消公司最低注册资本限制是和国际惯例接轨。例如,在中国香港,最快1个小时便可成立一家公司。这被普遍认为是香港经商的一大便捷之处。

在香港注册公司几乎没有门槛,只要有注册地址、真实身份就可注册,而且程序简单、取名自由、经营范围不受限制。特区政府公司注册处每日批准成立的公司数多达700到800家。出于便利营商,香港特区政府对内外资企业均是一视同仁,不会对某一行业、对某一企业有特别的支援。

由于以上诸多优势,香港的商业环境备受肯定。世界银行发表《2013年全球营商环境报告》指出,香港的营商便利程度排名全球第二。

中国香港是自由、开放的经济体,一切都交由市场来主导,政府的角色基本上就是服务和监管。对于类似商业欺诈的行为有警方、法院打击,能够切实保障消费者的权益。

由于商业环境好、门槛低,香港的中小公司数量较多,不用缴税的公司占比近九成。香港的产业结构也较为合理,中小微企业作用发挥充分,市场活跃,发展动力强劲。

此次国务院要求推进注册资本登记制度改革,从多方面放宽了注册资本条件,有利于降低企业注册门槛,激发社会投资活力。但目前仍然存在一些给最有活力的中小企业设置绊脚石的状况。

小公司难跨银行的“高门槛”,这是社会公认的现实。因为注册资金少,许多银行都拒绝受理小公司的开户。

例如:现在部分银行对于注册资金50万元甚至100万以下的公司客户,不提供结算服务,不办理开户手续。小公司们也就不能办税务登记证、不能领到发票,于是也就不能开展业务。这样的情况存在意味着创业的门槛仍需下降。工商局的门槛降低了,银行的门槛却还是这么高。

目前,没有明确的法律法规规定企业开户必须要存入多少钱。各银行大都规定在50万元以上。银行对企业账户设立门槛,一方面是为了降低自己的风险,另一方面也是要降低管理成本。

部分银行不给较低注册资金的企业开户是对中小企业在银行服务上的不公平,这也是给最有活力的中小企业设置的绊脚石,是一种资本歧视。

万丈高楼平地起,大公司也是从小公司发展而来。小企业是经济发展的细胞,在一个国家的经济“金字塔”中占据着最基础的部分。没有小企业就不可能有大企业,小企业的生存环境不好也必将影响到所有企业的生存状况。


取消公司注册资本是向市场跨了一小步,希望银行等机构也能够更加透明、门槛更低,让中小公司能够得到更好的服务、更优的价格,共同提升内地的经商环境。
